Kevan Clemens, Ph.D. - Chairman
Dr. Clemens has served as a director since September 2004 and as Chairman since February 2007. Earlier in 2004 Dr. Clemens retired after 30 years of experience in the pharmaceutical industry. In his final executive position he was the Executive Vice President, Business Director of Hoffmann-La Roche Inc. where he managed the Global Oncology business, including strategic and business planning and the development and marketing of its products. Prior to that he served Roche in various positions, including Global Head of Specialty Care, Global Head of Project Management and the Head of Clinical Operations for North and South America. Dr. Clemens worked for 25 years at Syntex and Roche in various development, sales and marketing positions including Head of Pharmacoeconomic Research and Global Pricing. Dr. Clemens was a member of the board of directors of Kosan Biosciences. Dr. Clemens received a G.R.I.C. from Kingston Polytechnic and a Ph.D. from the University of London.

Simon Pedder, Ph.D. - Director, President and Chief Executive Officer
Dr. Pedder joined Chelsea from Hoffmann-La Roche Inc. where he was VP of Pharmaceutical Business, Oncology and an Officer for the company. Prior to that he was the leader of the hepatitis franchise at Roche that developed Pegasys and Copegus, which have combined annual worldwide sales of over $1 billion. Dr. Pedder has been a Director in Pharmaceutical Business, Pharmaceutical Development and Project Management during his tenure at Roche. In these capacities he oversaw a number of successful NDAs. Dr. Pedder received his Ph.D. in Pharmacology from the College of Medicine at the University of Saskatchewan in Canada.

Norman Hardman, Ph.D., C.Chem., F.R.S.C., F.I. Biol. - Director
Dr. Hardman is President and Chief Executive Officer, Oxalis Partners LLC, a strategic consultant to US and EU biotechnology companies and VC Venture Funds and an Honorary Professor at the University of Aberdeen, where he currently serves as Vice President of the University of Aberdeen Development Trust and as an advisor to University management. Over the last ten years Dr. Hardman has held senior management roles in several companies, including as president and CEO of Amicus Therapeutics, CEO of Medical Research Council (MRC) Technology, senior VP of technology for Enzon, COO at Onyx Pharmaceuticals, Inc., and president and COO at GeneMedicine, Inc. He previously served as Head of R&D at Ciba-Geigy UK and played a central role in the integration of the global R&D organization during the merger of Ciba-Geigy and Sandoz to form Novartis AG, becoming Head of UK R&D Operations in the merged entity in 1996. Dr. Hardman graduated in Chemistry from the University of London and obtained his Ph.D. in Biochemistry, from the University of Manchester. His postdoctoral training included a 2-year period as Medical Research Council Fellow, and as Postdoctoral Fellow at Harvard Medical School.

Johnson Y.N. Lau, M.B., B.S., M.D., F.R.C.P. - Director
Dr. Lau has a varied background including academic medicine, financial management and executive management of pharmaceutical/biotech companies. Dr. Lau is currently Executive Chairman of XenoBiotic Laboratories. Dr. Lau also serves as Chairman of the Board of Kinex Pharmaceuticals. Dr. Lau was previously Managing Director of Healthcare Investment Banking of Roth Capital Partners. Before that he was Chairman and CEO of Ribapharm Inc. where he led the second largest IPO in the 20 years of biotechnology history. Prior to that he was Senior VP and Head of R&D at ICN Pharmaceuticals, was Senior Director of Antiviral Therapy at Schering-Plough and was a member of the faculty of Gastroenterology, Hepatology, and Nutrition as well as Molecular Genetics and Microbiology at the University of Florida. Dr. Lau has been involved with a number of successful Investigational New Drugs (INDs) and New Drug Applications (NDAs). He has published over 200 scientific papers, over 40 reviews and editorials in leading scientific journals, edited two books and has more than 10 patents. He is a Fellow of the Royal College of Physicians of the United Kingdom and received his medical degree and doctoral degree from the University of Hong Kong.

William D. Rueckert, B.A.
Mr. Rueckert is the Managing Member of Oyster Management Group LLC an investment fund specializing in community banks and a director of Novogen, Ltd. a publicly listed, Australian drug development company. Prior to his current positions, from 1991 to 2006 he was President and director of Rosow & Company, a private investment firm based in Connecticut. From 1988 until 1990, he held positions as Treasurer of Moore & Munger, Inc., a company with interests in the petroleum and resort development industries. Prior to that, he was President of United States Oil Company, a publicly traded oil exploration business. Before becoming a director of Novogen, Ltd, he served as a member of the Board of Directors of Marshall Edwards, Inc., a subsidiary of Novogen Limited from 2006 until 2009. From 2006 until 2008 Mr. Rueckert was a Director of Emergency Filtration Products, Inc., a public manufacturer and marketer of respiratory filtration devices. Among his many civic associations, Mr. Rueckert is director and president of the Cleveland H. Dodge Foundation, a private philanthropic organization in New York City and Chairman of the Board of the Trustees of Teachers College, Columbia University. Mr. Rueckert has a Bachelor of Arts degree from the University of New Hampshire.

Roger Stoll, Ph.D. - Director
Dr. Stoll has over 30 years of experience in the pharmaceutical, medical devices and diagnostic industries. Dr. Stoll currently serves as Executive Chairman of Cortex Pharmaceuticals, a position he assumed following his tenure as Chairman, President and CEO. Prior to that, he was the Executive Vice President of Fresenius Medical Care — N. America, where he oversaw both the dialysis products and laboratory services groups. From 1991 to 1998, Dr. Stoll was Chief Executive of Ohmeda, Inc. and served on the board of directors of the BOC Group, Plc in the UK, the parent of Ohmeda. Prior to that, Dr. Stoll held positions of increasing responsibility within the pharmaceutical industry including President of the Consumer Health Care Group of Miles, Executive Vice President and General Manager of the worldwide Diagnostics Business Group at Bayer AG, Director of Clinical Pharmacology and President of the American Critical Care Division for American Hospital Supply Corp (now Baxter International). He began his career at the Upjohn Company where he conducted human pharmacokinetic and drug metabolism clinical trials in all phases of drug development. Dr. Stoll received his bachelor’s degree in pharmacy from Ferris State University, a Ph.D. in Biopharmaceutics from the University of Connecticut, and performed postdoctoral studies in pharmacokinetics and drug metabolism at the University of Michigan.

Michael Weiser, M.D., Ph.D. - Director
Dr. Weiser is currently a founder and co-chairman of Actin Biomed, a New York based healthcare investment firm advancing the discovery and development of novel treatments for unmet medical needs. Prior to joining Actin Biomed, Dr. Weiser was the Director of Research at Paramount BioCapital where he was responsible for the scientific, medical and financial evaluation of biomedical technologies and pharmaceutical products under consideration for development. Dr. Weiser completed his Ph.D. in Molecular Neurobiology at Cornell University Medical College and received his M.D. from New York University School of Medicine. He performed his post-graduate medical training in the Department of Obstetrics and Gynecology at New York University Medical Center and completed a Postdoctoral Fellowship in the Department of Physiology and Neuroscience at New York University School of Medicine. Dr. Weiser is a member of The National Medical Honor Society, Alpha Omega Alpha, American Society of Clinical Oncology, American Society of Hematology and Association for Research in Vision and Ophthalmology. He has received awards for both academic and professional excellence and has published extensively in both medical and scientific journals. He currently serves on the board of directors of Emisphere Technologies, Inc., Ziopharm Oncology, Inc. as well as several privately held companies.
